Complex BMV Commercial Purchase & Restructure Strategy
We successfully structured a complex Below Market Value (BMV) commercial acquisition to release an existing Director from the investment, allowing them to realise their capital and move forward with their next project.
The commercial property had an original value of £400,000. Through careful deal structuring, we completed a purchase at £255,000, with the property transferred unencumbered to allow maximum flexibility for the new ownership structure.
A new Special Purpose Vehicle (SPV) was established with two new Directors, enabling the project to be separated from the previous shareholder arrangements. Within 12 months, we successfully refinanced the property with a commercial lender based on the higher underlying value, unlocking the equity position and converting the asset into a long-term commercial mortgage.
This strategy allowed the outgoing Director to extract their funds, remove themselves from the liability, and reinvest into their next opportunity, while the new Directors secured ownership of a valuable commercial asset with a sustainable lending structure.
